Terms and Conditions for Merchant Application

These Terms and Conditions ("Terms") govern your use of the Freedom Merchant application ("App") operated by Freedom World. By accessing, downloading, or using the App, you agree to these Terms. If you do not accept these Terms, you must immediately cease using the App.

1. Definitions

For the purposes of these Terms:

"App" refers to the Freedom Merchant application, including all features and services.

"Merchant" refers to any business entity or individual using the App to manage transactions. Refers to the QR-based payment system.

"Withdrawal" refers to the transfer of funds from the App to a Merchant’s designated bank account.

"Freedom World" refers to the entity that owns and operates the App.

2. Eligibility

To use the App, you must:

  1. Be at least 18 years old.
  2. Have the legal capacity to enter into a binding contract.
  3. Operate a lawful business, complying with applicable financial and tax regulations.

Freedom World reserves the right to reject or suspend merchant accounts at its sole discretion, including but not limited to cases of suspected fraud or regulatory non-compliance.

3. Account Registration

  1. Merchants must register an account using an email, password, or SSO authentication (Google, Apple).
  2. Merchants must provide accurate and complete information, including but not limited to: 
    - Business details
    - Contact information
    - Bank account details for withdrawals
  3. Merchant Verification: Freedom World may request additional documentation (e.g., business licenses, tax records, KYC).
  4. Merchants are solely responsible for maintaining account security and must promptly notify Freedom World of any unauthorized access.

4. Use of the App

The App provides tools for:

Transaction Management: View balances, initiate withdrawals, track transactions.

QuickPay: Generate QR codes for instant payments.

Invoices: Create and send invoices to customers.

Automatic Withdrawals (future feature).

Transaction History: Filter transactions by date, type, and status.

Merchants must use the App in compliance with all applicable laws and these Terms.

5. Withdrawals

  1. Manual Withdrawals:
    • Merchants may request withdrawals to their designated bank account.
    • Processing time: 3–5 business days.
    • Withdrawal requests are final once submitted.
  2. Automatic Withdrawals (Upcoming Feature)
    • Merchants can configure the App for periodic automatic withdrawals.
    • Merchants are responsible for ensuring their bank details remain accurate.
  3. Fees:
    • Withdrawal fees apply and will be disclosed before transaction confirmation.
    • Merchants are responsible for any bank charges, currency conversion fees, or other deductions.

6. Payments and Invoices

  1. QuickPay:
    • Merchants can generate QR codes for customers to complete payments.
    • Merchants are responsible for ensuring that payment details are correct before sharing QR codes.
  2. Invoices:
    • Merchants may create and send invoices to customers.
    • Freedom World does not guarantee that invoices will be paid or that customers will fulfill payments.

7. Push Notifications

  1. The App may send push notifications for:
    • Successful payments via QuickPay.
    • Withdrawal status (Success/Failure).
    • Promotional and security updates.
  2. Merchants may manage their notification preferences in the App settings.

8. Fees and Charges

  1. Fees may apply for specific services, including:
    - Withdrawals
    - QuickPay transactions
    - Invoice processing
  2. All applicable fees will be disclosed before a transaction is confirmed.
  3. Merchants are responsible for any applicable taxes, duties, or regulatory charges related to their use of the App.

Freedom World reserves the right to modify fees with prior notice.

9. Prohibited Activities

Merchants may not:

  1. Use the App for illegal, fraudulent, or unauthorized transactions.
  2. Interfere with the App’s security, systems, or operations.
  3. Circumvent the automated withdrawal system or engage in suspicious transaction activities.
  4. Use the App for money laundering, terrorist financing, or other prohibited activities.

Freedom World reserves the right to suspend or terminate accounts engaged in prohibited activities

10. Intellectual Property

  1. The App, including all software, trademarks, and content, is the exclusive property of Freedom World.
  2. Merchants are granted a limited, non-exclusive, non-transferable license to use the App.
  3. Merchants may not reverse-engineer, modify, distribute, or resell the App’s services.

11. Termination

  1. Freedom World may terminate or suspend merchant accounts without prior notice for:

    - Violation of these Terms

    - Suspicion of fraud, abuse, or illegal activity

    - Regulatory or compliance concerns

  2. Merchants may deactivate their accounts at any time via the App settings.
  3. Upon termination, merchants must withdraw any remaining funds before account closure.

12. Limitation of Liability

  1. The App is provided "as is" and "as available," without warranties of any kind.
  2. Freedom World is not liable for indirect, incidental, or consequential damages arising from:
    - System outages, transaction failures, or third-party service disruptions.
    - Loss of data, revenue, or business opportunities.
  3. Regulatory Changes: Freedom World is not responsible for changes in laws that may impact merchant operations.

13. Indemnification

Merchants agree to indemnify and hold harmless Freedom World, its affiliates, officers, and employees from any claims, liabilities, losses, or damages arising from:

  • Merchant's use of the App.
  • Failure to comply with these Terms.
  • Third-party claims related to Merchant transactions.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Thailand. 

Any dispute shall be resolved through negotiation, and if unresolved, submitted to arbitration or Thai courts

15. Changes to These Terms

  • Freedom World reserves the right to modify these Terms.
  • Merchants will be notified via App notification or email.
  • Continued use of the App after changes take effect constitutes acceptance.
