Freedom World - Terms and Conditions
These terms and conditions set forth the agreement between Freedomverse Company Limited (“Freedomverse”, “Company”, “we”, or “us”) and you (“you” or the “User”) to use the Freedom World platform where you can share your activities and interact with other Users (the “Platform”).
By using our Platform, you agree to be bound by these terms and conditions, including any annex which may apply to you if you use any specific features in the Platform (these "Terms”).
These Terms may be amended from time to time, at our sole discretion. However, if the changes materially affect you, we will notify you in advance within a reasonable period or the period required by the Applicable Law. By continuing to use our Platform, it shall be deemed that you have fully agreed to be bound by any updated or revised version of these Terms. We recommend that you regularly check these Terms. If you do not agree with any revised version of these Terms, we suggest you stop using our Platform. If you have any questions relating to these Terms, you can contact us at support@freedom.world.
1. Definitions
Unless the context requires otherwise, the capitalized terms used in these Terms (including any annex) shall have the following meanings:
“Account” has the meaning given to it in Clause 2.1 (Opening Account) of these Terms.
“Applicable Law” means all laws, statutes, orders, decrees, injunctions, and regulations of any Authority having jurisdiction over the matter in question.
"Content" has the meaning given to it in Clause 3.1 (Rights over the Content) of these Terms.
“Content Restrictions” has the meaning given to it in Clause 3.3 (Content Restrictions) of these Terms.
“Disputed Period” has the meaning given to it in Clause 4.3 (Disputed Payments) of these Terms.
“Fees” means any fee we collect from you under these Terms (including any applicable annex).
“Parties” means you and us, collectively.
“Party” means you or us, individually.
“Privacy Policy” means our privacy policy which can be accessed at https://freedom.world/privacy-policy.
“Services” means all services provided under the Platform and any other services provided under these Terms or any applicable annex.
“User” means the user of the Platform.
2. Account
2.1 Opening Account. Before using our Platform, you will be required to open an account with us (the "Account"). We may require you to provide us with relevant documents for our KYC (Know Your Customer) process to identify and verify the User's identity. Your personal information will be collected, processed and protected in accordance with our Privacy Policy.
2.2 Account Credential. You are responsible for maintaining adequate security and control of any passwords, or login credentials which can be used to access your Account. You are responsible for keeping the details of your Account (including any passwords) secure. You acknowledge and agree that we have no duty or obligation to verify or confirm the actual identity of the person who accesses your Account using validly issued credentials.
3. User’s Content
3.1 Rights over the Content. You can upload or post your content on the platform, including without limitation, texts, images, audio, videos, or any marketing material (the "Content"). You represent and warrant that you are the owner of your Content or have the authorization to upload or post on the Platform and your Content has not infringed the intellectual property of any third party in any manner.
3.2 Ownership of Content and License. If you have intellectual property rights over your Content, you retain the ownership of that intellectual property rights. However, by uploading or posting your Content on the Platform, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to use, publish, modify, or make derivative works of your Content for providing you the Services, improving our products and services or for our marketing purpose.
3.3 Content Restrictions. Your Content must not;
- infringe on the intellectual property rights of others;
- contain any false, inaccurate, misleading, or deceptive statement;
- are related to pornographic or obscene material;
- promote or refer to illegal activities (such as illegal drugs, gambling or weapons, phishing, terrorism, criminal activities, and pyramid schemes);
- are discriminatory or constitute "hate speech", whether directed at an individual or a group, and whether based upon the race, sex, creed, national origin, religious affiliation, sexual orientation, or the language of such individual or group;
- are related to excessively graphic or explicit violence; or
- are defamatory, inappropriate, or profane,
(the “Content Restrictions”).
3.4 Rights to Remove. If your Content violates the Content Restrictions, we have the right to refuse to publish or remove your Content from our Platform without prior notice and any liability to you.
4. Fees and Payment
4.1 Fees. By using some specific features on our Platform, you may be required to pay us the Fee for that service. You agree and acknowledge that failure to pay us any Fee will constitute a material breach of these Terms.
4.2 Interest. For payments past due, the interest at a rate of 1.25 % (one point two-five percent) per month will be charged to you.
4.3 Disputed Payments. During the first 5 (five) Business Days after the payment is due (the “Disputed Period”), you will not be considered in breach of these Terms if you withhold the portion of the payment due to a bona fide dispute, provided that you:
- gives us a written notice setting forth in detail the reason for the dispute, on or before the payment due date;
- meets and confers in good faith with us to resolve the dispute, starting promptly after such notice;
- pays the undisputed portion of the payment on or before its due date; and
- pays the disputed Fees, if legitimate, promptly after resolution of the dispute.
No dispute will alter our rights to interest payments under Clause 4.2 (Interest) of these Terms regarding payments due.
5. Suspension and Termination of Account
We have the right to temporarily suspend or terminate your Account without prior notice or liability to you if:
- you breach any material terms and conditions of these Terms or any applicable annex; or
- any other reasons as we deem appropriate.
6. General Provisions
6.1 Indemnification. You agree to indemnify and hold Freedomverse, our affiliates, and each of our respective officers, directors, employees, and representatives, harmless from any third-party claim or third-party demand (including attorneys' fees and any fines, fees, or penalties imposed by any regulatory authority) arising out of your:
- breach of these Terms,
- violation of any law, rule or regulation, or the rights of any third party, or
- gross negligence, fraud or willful misconduct.
6.2 Severability. The Parties intend every provision of these Terms to be severable. If any part of these Terms is not enforceable, the remaining provisions will remain valid and enforceable. If a court of competent jurisdiction determines that any term or provision contained herein is illegal or invalid for any reason, the illegality or invalidity will not affect the validity of the remainder of these Terms.
6.3 Force Majeure. We will not be liable for delays, suspension of operations, whether temporary or permanent, failure in performance, or interruption of Services that result directly or indirectly from any cause or condition beyond our reasonable control, including without limitation, any delay or failure due to any act of God, natural disasters, the act of civil or military authorities, the act of terrorists, including but not limited to cyber-related terrorist acts, hacking, government restrictions, exchange or market rulings, civil disturbance, war, strike or other labor dispute, fire, interruption in telecommunications or internet services or network provider services, failure of equipment and/or software, other catastrophe or any other occurrence which is beyond our reasonable control.
6.4 Governing Law and Dispute Resolutions. These Terms shall be governed by and construed under the laws of Thailand. To any claim, dispute, or difference of any kind whatsoever arising out of or in connection with these Terms between any of the Parties, the Parties hereto irrevocably agree that they shall be referred to and finally be resolved by arbitration in Thailand.
6.5 Limitation of Liability.
- In no event shall our aggregate liability exceed the amount of the Fees collected from you during the 12 (twelve) months preceding the date of any claim.
- We shall not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages (including without limitation, loss of business or business opportunity, goodwill, revenue, profits, data, or other economic benefits) which may be suffered by you.
6.6 Language. These Terms are provided solely in English. The Community Creator acknowledges and agrees that all rights and obligations under these Terms shall be interpreted and enforced based on the English version. Any translation of these Terms (if any) is provided for convenience only and shall have no legal effect. In the event of any discrepancy between the English version and a translated version, the English version shall prevail.
7. Service Disruptions and Availability
The Users acknowledge and agree that the availability and functionality of the Platform, including any services and features related to the Community provided therein, may be subject to interruptions, delays, or temporary unavailability due to maintenance, updates, technical issues, network failures, or other circumstances beyond our control. The Platform reserves the right to suspend, modify, or discontinue any part of the services or features, either temporarily or permanently, without prior notice.
To the fullest extent permitted by Applicable Law, we shall not be liable for any loss, damage, or costs incurred by the Users or any third party arising from any disruption, suspension, or unavailability of the Platform or any features therein.
Annex 1
Freedom World Community Creation
1. Introduction.
This Annex 1 (the “Annex 1”) shall apply to the User who launches the Community on our Platform (the “Community Creator”). We allow the Community Creator to leverage the preferred features and tools on our Platform to achieve the Community Creator’s business or community objectives.
2. Definitions.
Unless the context requires otherwise, the capitalized terms used in this Annex 1 shall have the following meanings:
“Business Day” means a day (other than Saturday, Sunday, or bank/financial institution holiday in Thailand) on which commercial banks or financial institutions are open for general business in Thailand.
“Campaign” means a marketing campaign launched by the Community Creator on our Platform through the Freedom Console, in which the Members shall complete designated missions in exchange for rewards. Such rewards may include Tokens, products, services, or other benefits provided by the Community Creator.
“Community" means the community feature on our Platform created by the User using the Freedom Console in which the User shall be eligible for relevant features which include, but are not limited to those set out in Clause 6 (Tokens) to Clause 11 (Dashboard) of this Annex 1.
“Community Admin” has the meaning given to it in Clause 5 (Community Administrator) of this Annex 1.
“Community Creator” has the meaning given to it in Clause 1 (Introduction) of this Annex 1.
“Community Shop” means a shop of each Community where the Community Creator can sell E-Commerce Items to its Members.
“Community Wallet” means a wallet for all Tokens received by the Community Creator from operating the Community which can be accessed via the Freedom Console.
“Custom Token” means a customary utility token created by the Community Creator via the Freedom Console and can be used as a medium of exchange within its Community.
“Digital Items” means digital vouchers, digital tickets and other redeemable items in the form of non-fungible tokens (NFTs) created by the Community Creator through the Freedom Console. The Members may redeem Digital Items in exchange for access to events, products, services, or other benefits, subject to the terms and conditions specified by the Community Creator. The price of each Digital Item can be in either Tokens or fiat currency(ies) (subject to availability on the Platform) as the Community Creator may determine.
“E-Commerce Items” means any goods, services or other types of benefit sold by the Community Creator in the Community Shop.
“FDM" means a utility token created and owned by our group company and can be used to pay the Freedom Fee.
“FDS” or “Freedom Shards” means a utility token created and owned by our group company, serving as one of the mediums of exchange used in our Platform. It may be used to redeem rewards from the Shards Shop and used in certain Communities as may determined by the Community Creator pursuant to Clause 6 (Tokens) of this Annex 1.
“Freedom Console” means an integral component of our Platform, serving as a comprehensive management tool for the Community Creators which can be accessed at https://console.freedom.world/, enabling the Community Creators to establish, manage and customize their Community.
“Freedom Fee” has the meaning given to it in Clause 12.1 (Freedom Fee) of this Annex 1.
"Live Chat" means a real-time messaging feature available within the Community on the Platform, enabling the Community Creator and Members to communicate, engage, and exchange information in accordance with the Community’s objectives and these Terms.
“Member” means the User who has signed up as a member of the Community.
"Merchant Gateway Agreement" means an agreement entered into or to be entered into between the Community Creator and us, governing the rights and obligations of both parties concerning payment methods, applicable fees, and other provisions related to the operation of the Community Shop and/or other Community features.
“Referred Member” has the meaning given to it in Clause 10 (Referral) of this Annex 1.
“Referrer” has the meaning given to it in Clause 10 (Referral) of this Annex 1.
“Shards Shop” means a shop operated by us where Users can utilize FDS to redeem rewards in the shop.
“Tokens” means the FDS and the Custom Token.
3. Creation of the Community
In launching the Community on the Platform, we may undergo our internal procedure in verifying the business and/or purpose of the Community Creator. This may include a Know Your Business (KYB) procedure, signing of the Merchant Gateway Agreement and supplement of other required documents in case the Community Creator would like to access the Community Shop feature or in any other circumstances as we may determine at our sole discretion. The Community Creator shall supply all requested information and documents for such purpose and further warrants and represents that all information and documents supplied to us are true and accurate in all respective manners.
The Community Creator acknowledges and agrees that we reserve the right to reject the launch of any Community at our sole discretion without any obligation to provide reasons for such decision.
4. Purpose of the Community
The Community Creator undertakes that it will operate the Community in accordance with the category(ies) of the Community selected when creating the Community and align with the purpose of the Community Creator’s business disclosed to us. Under no circumstances shall the Community Creator modify or repurpose the Community for any other use without our prior approval which may be subject to additional Know Your Business (KYB) procedure. We reserve the right, at our sole discretion, to suspend or reject such modification or repurpose. The Community Creator agrees and acknowledges that the Members of their Community may get a notification from our Platform regarding such changes in the Community and can opt to leave the Community.
5. Community Administrator
The Community Creator may authorize any User to act as an administrator of its Community, granting access to designated features and functions of the Community on the Freedom Console (the “Community Admin”). The Community Creator remains fully responsible for all actions taken by the Community Admin.
Any instructions issued by the Community Admin and properly identified to our satisfaction shall be deemed valid, duly authorized, and binding on the Community Creator. We shall not be liable for acting upon such instructions, even if they contain errors or are later determined to be unauthentic or unauthorized. For the avoidance of doubt, such instructions include, but are not limited to, any actions, communications, decisions, approvals, configurations, or management functions performed by the Community Admin in relation to the Community on our Platform, whether administrative, operational, or technical in nature.
The Community Creator acknowledges and agrees that it is responsible for managing and overseeing its Community Admin, including modifying or revoking their authorization as necessary. We shall not be responsible for any consequences arising from the Community Creator’s failure to properly manage such authorization.
6. Tokens
6.1 Types of Tokens. In operating the Community, the Community Creator selects the following tokens as medium(s) of exchange used in its Community:
- FDS; and
- the Custom Token.
6.2 Purchase of Tokens. The Community Creator may purchase Tokens from our Platform. Any Tokens purchased and/or received from the Community will be stored in the Community Wallet as shown in the Freedom Console.
7. Campaigns and Digital Items
In order to achieve the Community’s objectives, the Community Creator may launch the following features:
- the Campaigns; and
- the Digital Items.
The objectives of each Campaign and Digital Item shall align with the purpose of the Community pursuant to Clause 4 (Purpose of the Community) of this Annex 1.
The Community Creator shall conduct all Campaigns and issue Digital Items in compliance with Applicable Law, in good faith, and without causing any direct or indirect harm to our Platform. The Community Creator is solely responsible for ensuring that all promised rewards under each Campaign, as well as any services, products, or benefits associated with Digital Items, are duly provided to the Members in accordance with the respective terms and conditions.
In the event of any failure to fulfill its obligations related to the Campaign or the Digital Item, the Community Creator shall be solely liable to the Members and shall indemnify and hold us harmless from any claims, liabilities, or damages arising from such failure.
We reserve the right to suspend any Campaigns or Digital Items if the Community Creator violates these Terms or is found to be, or is suspected of being, non-compliant with any Applicable Laws. We shall not be liable for any loss or damages resulting from such suspension.
8. Community Shop
8.1 E-Commerce Items. Subject to our verification process, the Community Creator may sell E-Commerce Items to its Members on the Community Shop. The medium of exchange used in the Community Shop can be either in Tokens or in fiat currency(ies) (subject to availability on the Platform) as the Community Creator may determine.
The Community Creator undertakes to comply with our terms and conditions regarding the Community Shop in all respects.
8.2 Payment. The payment for the E-Commerce Items shall be subject to the payment processing terms outlined in the Merchant Gateway Agreement, our terms and conditions regarding the Community Shop and other applicable agreements between the Community Creator and us. Such agreement may govern the withholding of funds, release of payments, and any other payment-related terms, including conditions for confirming receipt, handling disputes, and applicable fees.
8.3 Restriction on Direct Sales. The Community Creator shall not directly contact any Member for the purpose of selling E-Commerce Items outside of the Community Shop. All transactions related to E-Commerce Items must be conducted exclusively through the Community Shop. Any attempt to bypass the Community Shop for direct sales, whether through personal communication, external platforms, or other means, is strictly prohibited. We reserve the right to take appropriate action, including suspension or termination of the Community Shop for such Community, in the event of any violation of this provision.
8.4 Sole Liabilities. The Community Creator is solely responsible for ensuring that all E-Commerce Items meet applicable quality standards and are delivered or fulfilled as promised. We shall not be liable for any issues arising from the sale, delivery, or quality of E-Commerce Items.
9. Live Chat Usage and Moderation
The Community Creator is responsible for ensuring that the Live Chat of its Community is used in alignment with the Community’s objectives and in a manner that fosters a positive and respectful environment. The Community Creator shall monitor the Live Chat and take reasonable steps to prevent any misuse, including but not limited to:
- prohibiting the use of offensive, abusive, or inappropriate language;
- preventing any form of harassment, discrimination, threats, or harmful conduct; and
- ensuring that discussions remain relevant to the Community’s objectives and do not involve spam, fraudulent activity, or unauthorized promotions.
If any Member engages in inappropriate behavior, including any actions as aforementioned in the above paragraph, the Community Creator shall take appropriate action, which may include issuing warnings, removing the Member from the Live Chat and/or the Community, or reporting the incident to us for further review. The Community Creator agrees to report any severe violations or repeated misconduct to us promptly.
We reserve the right to monitor Live Chat activities and take necessary actions, including suspending or terminating the Live Chat of such Community, the Community itself or any Member account, in the event of any violations of this provision.
10. Referral
The Community Creator may implement a referral feature available at the Freedom Console that allows existing Members of its Community (the “Referrer”) to invite new Users (the “Referred Member”) to join the Community.
Upon successful registration and verification of the Referred Member to join our Platform and the Community, both the Referrer and the Referred Member shall receive a reward from the Community Creator, subject to the following terms:
- the reward for both the Referrer and the Referred Member will be in the form of Tokens, with the amount of Tokens to be determined by the Community Creator and subject to availability;
- the Tokens will be credited to the respective accounts of the Referer and the Referred Member once the Referred Member completes their registration and any required verification process in order to join the Community;
The Community Creator may modify, suspend, or terminate the referral feature via the Freedom Console provided that we reserve the right to suspend or terminate such referral feature if this feature engage in any fraudulent, abusive, or unethical activity and the Community Creator agrees that we shall not be liable for any claims, damages, or losses arising from the suspension or modification of the referral feature.
We shall not be liable for any disputes arising from the referral feature between the Community Creator, the Referrer and/or the Referred Member.
11. Dashboard
The Community’s dashboard, available through the Freedom Console, provides information related to the operation of the Community, which may include details such as the number of Tokens in the Community’s wallet, the number of Members, user engagement metrics, and other relevant statistical data. We reserve the right to modify the user interface and determine which statistical data will be displayed on the dashboard at our sole discretion. In the event that certain data will no longer be available on the dashboard, we will notify the Community Creator prior to such modification.
12. Fees
12.1 Freedom Fee. The Community Creator agrees that the Fee of 1% (one percent) of the transaction amount (the “Freedom Fee”) shall be paid to us in case of the following transactions:
- Purchase of Tokens - For any purchase of Tokens made by the Community Creator, the Freedom Fee of 1% (one percent) of the purchase price shall be added to the total amount payable, which shall be collected by us through the Platform at the time of purchase of Tokens.
- Purchase of E-Commerce Items and Digital Items in fiat currency(ies) - If the Member purchases any E-Commerce Item or Digital Item from the Community using THB, the Freedom Fee of 1% (one percent) of the purchase price shall be deducted from the total payment received. The Community Creator shall receive the remaining amount after deduction of the Freedom Fee and any other applicable Fees pursuant to Clause 12.3 (Additional Fees) of this Annex 1.
For the avoidance of doubt, if the purchase is made in Tokens, the Freedom Fee shall not be deducted from the purchase price, as the Freedom Fee would have already been applied when the Member initially purchased the Tokens from us through the Platform, following the same arrangement applicable to the Community Creator under Clause 12.1(b) above.
12.2 Discount Rate. The Community Creator may choose to pay the Freedom Fee using FDM instead of fiat currency. If the Community Creator opts for this payment method, they shall be eligible for a 50% (fifty percent) discount on the Freedom Fee, reducing the applicable rate to 0.5% (zero point five percent) of the transaction amount.
12.3 Additional Fees and Modifications. The Community Creator agrees and acknowledges that any transaction on the Platform may be subject to any additional Fees including, but not limited to withdrawal Fee, transactional Fee and any additional Fees as set out in the Merchant Gateway Agreement. We reserve the right to modify the rate of any Fees including the Freedom Fee at our sole discretion provided that we shall notify the Community Creator 30 (thirty) days prior to implementation of such modification.
13. Personal Data of the Members
The Community Creator agrees that it shall not collect, use, store, or process any personal data of the Members, including but not limited to email addresses, names, addresses, and phone numbers, except as strictly necessary to fulfill its obligations to the Member under these Terms.
The Community Creator further agrees to comply with all applicable data protection laws and regulations when handling any personal data of the Members. Any collection, use, or processing of personal data beyond what is necessary for fulfilling obligations under these Terms shall require the express consent of the Member and must align with our Privacy Policy.
The Community Creator shall not share, sell, or disclose any Member's personal data to any third party without prior consent, except as required by Applicable Law. In the event of a data breach or unauthorized access to personal data, the Community Creator must promptly notify us and take all necessary actions to mitigate any potential harm.
14. Community Service Disruptions
The Community Creator further acknowledges that in the event of service disruptions pursuant to Clause 7 (Service Disruptions and Availability) of the first section of these Terms, it shall not hold us responsible for any failure to fulfill transactions, process payments, or provide access to any Community-related features.
15. Dissolution of the Community
15.1 Voluntary Dissolution
The Community Creator may request to dissolve its Community at any time by submitting a request to us. Prior to dissolution, the Community Creator shall ensure that all outstanding obligations, including the fulfillment of any pending transactions, delivery of promised rewards, and settlement of any applicable Fees, are duly completed.
The dissolution of the Community shall take effect upon our confirmation, and all associated data, features, and services related to the Community may be permanently removed from the Platform.
15.2 Mandatory Dissolution
We reserve the right, at our sole discretion, to dissolve any Community and terminate the Community Creator’s access to the Platform of the Community Creator without prior notice if the Community Creator:
- breaches any provision of these Terms or any other applicable policies of the Platform;
- engages in fraudulent, misleading, or illegal activities;
- violates any Applicable Law, including those related to consumer protection, intellectual property, or personal data;
- fails to fulfill its obligations to its Members in a material respect at our discretion;
- is involved in any activity that causes harm to the reputation, security, or integrity of the Platform; or
- is inactive for a prolonged period, as determined by us.
Upon mandatory dissolution under this Clause 15.2 (Mandatory Dissolution) of this Annex 1, the Community Creator shall have no claim for compensation, damages, or reimbursement against us. Any remaining Tokens, Digital Items, or E-Commerce Items within the Community’s wallet or shop may be subject to separate handling (on whether to be managed, transferred, refunded, or otherwise) as determined at our sole discretion.
In the event that there are any outstanding obligations between the Community Creator and its Members, the Community Creator shall be solely responsible for fulfilling such obligations. The Community Creator shall bear full liability to its Members for any failure to meet these obligations and shall indemnify us from any claims, liabilities, or damages arising from such failure. We shall not be held liable for any issues, disputes, or losses incurred by the Community Creator or Members in relation to such obligations.
